Alcatel-Lucent said today it will buy Motive Inc., one of its long-time developer partners.

Alcatel-Lucent will pay approximately $67.8 million in cash, or about $2.23 per share, for Motive, which makes service management software for broadband and mobile data services.

The deal should close by early in the fourth quarter, Alcatel-Lucent said.

Alcatel-Lucent and Motive have worked together for three years developing and selling remote management software that automates deployment, configuration and support of residential gateways for the home. Their customers include AT&T Inc., BT, Swisscom and Verizon.

Luis Martinez Amago, president of Alcatel-Lucent’s fixed access activities, said Motive’s expertise, combined with Alcatel-Lucent’s access technologies, “will allow customers to offer a new generation of complex services, blurring the boundaries between fixed and mobile networks, and increasing customer retention but without adding operational complexity.”

Motive executives said the acquisition gives their company the capital, technology and people necessary to its operations.

Motive has 300 employees around the world. Its R&D operations are located in Austin, Texas, and Bangalore, India, and will become part of Alcatel-Lucent’s Fixed Access Division, within the Carrier Business Group.
